1. Who We Are & What STENCIL Does
STENCIL is a software platform operated by [STENCIL LEGAL ENTITY — TBC] (company number [COMPANY NUMBER — TBC], registered at [REGISTERED ADDRESS — TBC]) ("STENCIL", "we", "us"). By creating an account or using the service, you enter into a binding agreement with STENCIL.
STENCIL helps tattoo artists and studios manage bookings, quotes, deposits, and client communication, and facilitates payments between artists and their clients. STENCIL provides tools — it is not a party to any transaction between an artist and a client. Artists set their own policies, prices, deposit amounts, and refund terms. Any agreement for tattoo services is solely between the artist and the client, and STENCIL is not responsible for the quality, safety, legality, or outcome of any tattoo service booked through the platform.
Artists and studios use STENCIL as businesses, acting in the course of their trade, business, or profession. The subscription relationship between you (as an artist or studio) and STENCIL is therefore a business-to-business (B2B) arrangement.
2. Acceptance of Terms
By accessing or continuing to use STENCIL, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, you must not use the service. You must be of legal age in your jurisdiction, and if you use STENCIL on behalf of an organisation, you confirm you have authority to bind that organisation.
3. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account.
4. Acceptable Use
You agree not to misuse the platform. Prohibited conduct — including unlawful use, fraud, spam, infringing content, harassment, scraping, and interfering with security — is set out in full in our Acceptable Use Policy, which forms part of these Terms. We may remove content, restrict features, or suspend or terminate accounts that violate it.
5. Intellectual Property
STENCIL and all related software, documentation, designs, and branding are owned by STENCIL and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. You may not copy, resell, reverse engineer, or create derivative works from the platform.
You retain ownership of the content and tattoo designs you create and upload. You grant STENCIL a limited, non-exclusive licence to host, store, display, and process that content solely as needed to operate and provide the service to you (for example, showing a design to your client within a booking). We claim no ownership of your designs.
6. Payments & Subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a subscription, you also agree to Paddle's Buyer Terms, which govern billing, renewals, taxes, cancellations, and refunds. STENCIL does not store full card details.
Pro is free for your first 30 days. If you do not upgrade, your account moves to the free Starter plan automatically — no charge, and no card is required to start the trial. Paid subscriptions renew automatically each month until cancelled. You can cancel anytime from your dashboard; cancellation stops the next renewal and access continues to the end of the paid period. Subscription refunds are covered by our Refund Policy.
7. Deposits & Client Payments
When a client pays a deposit or balance through STENCIL, those payments are processed by Stripe using Stripe Connect, and the funds are routed directly to the artist's own connected Stripe payout account. STENCIL never holds, controls, or takes a cut of client funds. The artist is the recipient and is responsible for their own tax and payout arrangements.
Because the artist receives the funds, the artist is responsible for any chargebacks, disputes, or reversals relating to client payments, including any associated fees. Tattoo deposits are governed by the artist's own policy, not STENCIL's — see the Booking Policy.
8. Estimates
Price estimates generated on STENCIL are indicative only and are not a binding quote or offer. The final price for any tattoo is agreed directly between the artist and the client.
9. Suspension & Termination
We may suspend or terminate your access for material breach of these Terms, non-payment of subscription fees, security or fraud risk, or repeated or serious policy violations. Where practical and lawful, we will give notice and an opportunity to resolve the issue first.
10. Beta & Service Level
STENCIL is currently offered in beta. Features may change, be added, or be removed, and the service may experience interruptions. The service is provided "as is" and "as available" without warranties of any kind, and we do not guarantee uninterrupted or error-free performance.
11. Limitation of Liability
To the fullest extent permitted by law, STENCIL and its team will not be liable for any indirect, incidental, or consequential damages, or for any disputes, losses, or damages arising from transactions or relationships between artists and clients. Our total liability is limited to the amount you paid us, if any, in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
12. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify you by email or via an in-app notice before they take effect. Continued use of STENCIL after changes take effect means you accept the updated Terms.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute arising from them. This does not affect any mandatory rights or protections you have under the laws of the country where you live.
